BX3 Beat License Agreement

This agreement applies when a BX3 member confirms a Beat Claim and receives access to the associated audio files. The member is the "Licensee," and the applicable rights holder is the "Licensor." Each claimed beat is licensed, not sold.

License Grant

Upon confirmation of a Beat Claim, and subject to payment and compliance with this agreement, the Licensor grants the Licensee a limited, non-exclusive, non-transferable license to create and distribute one original song using the claimed beat. The Licensee may record original vocals, arrange the song, mix and master it, and use the completed song for lawful promotional and commercial purposes.

Duration and Membership Cancellation

This license remains valid permanently after it is issued and does not end solely because the Licensee cancels, downgrades, or otherwise ends a BX3 membership. Membership cancellation does not remove the Licensee's access to previously claimed beats in My Beat Pack. The license remains subject to this agreement, including its restrictions and termination provisions for material breach.

Ownership

The Licensor retains ownership of the beat, composition interests, master files, and all rights not expressly granted. The Licensee owns original lyrics and original vocal performances but does not acquire exclusive ownership of the beat. The same beat may be licensed to others.

Restrictions

Do not resell, redistribute, sublicense, share, or upload the unmodified beat or its stems as a standalone product.
Do not register the beat itself, or another person's share of the composition, as solely owned by the Licensee.
Do not use automated content-identification systems in a way that blocks the Licensor or other authorized licensees.
Do not use the beat for unlawful, defamatory, or rights-infringing content.

Credit

Where credits are customarily provided, credit the producer in the form shown with the beat or in the accompanying download information.

No Exclusivity or Transfer

This license is non-exclusive and may not be transferred to another person or entity without written permission. A distributor or service provider may receive only the limited access necessary to distribute the Licensee's completed song.

Termination

A material breach may terminate the license after any legally required notice or opportunity to cure. Rights and obligations concerning ownership, restrictions, accrued payments, and prior violations survive termination.

Entire Agreement

This agreement, the specific beat listing or claim record, and any written addendum form the agreement for the claimed beat. If a signed custom agreement conflicts with this general agreement, the signed custom agreement controls.
